MS Productions Independent Contractor Agreement I_______________________________understand that I am an independent contractor with MS Productions. MS Productions Toll-Free Number Leasing Agreement This agreement is between: Owner: MS Productions, and Independent Contractor: ________________________, and once signed, shall be legally binding to both parties during the term of the contract between said parties as follows: Provisions of Agreement: Owner A. Owner agrees to provide Independent Contractor with one or more Toll-Free numbers as required by the needs of the business. B. Owner agrees to pay 50% of the total cost of the Toll-Free number(s) provided. C. Owner agrees to make available monthly billing statements of said Toll-Free number(s), to Independent Contractor on a regular basis. D. Owner agrees to deduct Independent Contractors portion of Toll-Free Number(s) from Independent Contractors commission check. E. Owner will withhold the sum of Twenty Five Dollars ($25.00) from Independent Contractors first Commission Check, to cover the cost of the first month's Toll-Free Bill. Provisions of Agreement: Independent Contractor A. Independent Contractor agrees to Lease Toll-Free number(s) from Owner. B. Independent Contractor agrees to pay 50% of total cost of Toll-Free number(s) provided during the term of the contract. C. Independent Contractor agrees to use Leased Toll-Free number(s) for Business Use only. For purposes of this agreement, Business Use is defined as normal charges relating to calls conducted with a customer for the purposes of paid audio entertainment. Calls that exceed the allotted time paid for by a customer by more than 10 minutes, or calls in excess of 5 minutes with no resulting paid customer charges may be deemed as "personal" in nature and may be subject to charges as outlined below. D. Independent Contractor agrees to pay for 100% of any charges resulting from use that is not deemed as Business Use as outlined above. E. MS Productions Confidentiality Agreement I, the undersigned, hereby agree as an Independent Contractor for MS Productions to abide by the following during the term of my contract: 1. As an Independent Contractor, I agree not to disclose any of MS Productions procedures of operation, except for those procedures defined as public knowledge. The only procedures defined as public knowledge include: a. the information gathering process used prior to conducting a call with a customer b. the information that is published on our website(s). 1. As an Independent Contractor, I agree not to disclose the source of any operator pictures, names, or biographical information, and agree to keep this information strictly confidential. Under no circumstances will I discuss the origin of any of the information listed in this item with anyone, including other contractors working with MS Productions. 2. As an Independent Contractor, I agree not to disclose the pay rate at which I am contracted to anyone, including other contractors working with MS Productions. 3. As an Independent Contractor, I agree not to disclose the number of minutes I produce, or total earnings I make during any given pay period to anyone, including other contractors working with MS Productions. 4. As an Independent Contractor, I agree to keep ALL personal & financial information of MS Productions customers as strictly confidential. This includes information I may gather as a course of doing business, and may include (but is not limited to) information about a customer's credit/debit card account, checking account, e-mail account, home address, & telephone number(s). Upon termination of my status as an independent contractor (either voluntarily or by MS Productions), I agree to forward ALL customer information and ALL company files in my possession to the Owner of MS Productions without delay. I further understand and agree that my final paycheck will be held by MS Productions until this material is received by them. 5. As an Independent Contractor, I agree that I will not use ANY information gathered from a customer to contact that customer in ANY way except as required during the normal course of business. This includes (but is not limited to) personal phone calls, personal e-mails, or face-to-face meetings with a customer for any reason. I further agree that upon termination of my contract (either voluntarily or by MS Productions), I will not contact or solicit business from any MS Productions customer for a period of at least 180 days from the date my contract is terminated. 6. As an Independent Contractor, I agree that all of the above will be kept confidential should my contract with MS Productions be terminated (either voluntarily or by MS Productions). I agree that at no time, either during my contract (or after it is terminated), will I engage in verbal or written conversation that divulges private information about MS Productions, it's operations, employees, or other contractors. This includes information that may be considered as damaging to MS Productions and it's reputation. By signing this document I am acknowledging my agreement with the above listed items, and am further acknowledging that violating ANY of these items during the term of my contract may result in disciplinary action up to and including termination of my contract by MS Productions.
